This dissertation presents three case studies of legal-economic policy development in the late nineteenth- and twentieth-century United States. The first examines the historical origins of the "debt-equity distinction," the feature of U.S. tax law by which interest paid on debt, but not dividends paid to shareholders, is deductible from corporate income. The second explores the failure of the federal chartering movement during the Progressive Era, examining the historical factors that prevented passage of a federal incorporation law. The final case study focuses on postwar antitrust policy, presenting a statistical analysis of the influence of law and economics scholarship on Supreme Court antitrust jurisprudence. The connecting theme of each of these studies is that major structural features of the American economy have often been shaped by the unpredictable forces of historical contingency.
